These general terms (”General terms”) together with the order in the web interface apply as an integral part of the offer that the customer has accepted and entered into with Yabie (hereinafter referred to as the ”Agreement”). It is stated in the order in the web interface which of Yabie’s products the customer has ordered. As part of the complete POS solution, Yabie can supply the necessary hardware. The ordered hardware appears from the order in the web interface. By placing an order via our webshop (shop.yabie.com) you accept and agree to comply with the conditions set out in this document. It is always your responsibility to ensure that you have read and understood the terms and conditions before placing your order.
Privacy policy
We only use your personal information in accordance with our Privacy Policy.
Delivery
3.1. The hardware is delivered to the Customer after ordering in the manner determined by Yabie.
3.2.Delivery of an order will be completed when a) we deliver the Product to the address you provided us, or b) to the extent you, or a carrier organized by you, collect Product(s) from us, at the time of collection. Ownership of the Product will pass to you once we have received payment in full, including all applicable delivery charges.
3.3. Upon receipt, the Customer must thoroughly check that the hardware works as it should, and report any errors or defects to Yabie without undue delay. When the customer has received the Hardware and gotten the POS system installed, the customer must check as soon as possible that everything is working as it should without undue delay.
3.4. Any shipping costs are paid by the Customer if stated according to the order in the web interface. Delivery time from receiving payment is dependent on the carrier that will be stated in the web interface. Yabie will handle the order immediately upon receiving the payment. Yabie is delivering products to Sweden and Norway
Warranty
4.1. The guarantee that Yabie receives from each manufacturer or supplier of the hardware also applies to the Customer. This means, among other things, that it covers manufacturing defects and does not apply to damage caused by accidents or incorrect use of the hardware. The extended warranty applies for 12 months from the date of delivery. The extended warranty means that if the hardware stops working, Yabie will arrange for it to be either repaired or replaced if there is a manufacturing defect (according to the manufacturer’s warranty terms), but not if the damage is due to an accident or misuse of the hardware.
4.2. In addition to what is expressly stated in the Agreement, the Products and Hardware are offered as is, without any warranties, either expressed or implied.
Responsibility for the Hardware
For faults that are not covered by the guarantees in point 3. Warranty above, Yabie has no responsibility. Yabie is also not responsible for lost hardware.
Return and refund
6.1. When purchasing goods on Yabie website, you as a customer have a statutory 14-day right of withdrawal that applies from the time you have received an item that you have ordered.
6.2. When exercising your right of withdrawal: You must immediately announce that you regret it. The message should be sent to us according to contact information on Yabie website. In your message, your name, your address, e-mail address, the order number and which goods the return applies to must be clearly stated. You should return the products to us immediately and at the latest within the statutory 14 days after the cancellation notice. You are responsible for return shipping, delivery and condition of the products upon return, the products should therefore be sent well packaged and in their original packaging. From the refund amount, we reserve the right to deduct an amount corresponding to the reduction in value compared to the original value of the product in the case of a used or damaged product. The refund will be initiated as soon as the return have been received and processed by Yabie and will be done by the same payment method as the initial purchase.
Ownership
Unless otherwise stated, the Customer has ownership rights to hardware other than the payment terminal after payment to Yabie has been completed.
The customer’s overall obligations
8.1. The customer must fulfill his obligations according to this agreement and otherwise act loyally towards Yabie.
8.2. The customer is solely responsible for always fulfilling all his duties and obligations according to the law and towards his customers, suppliers and other third parties.
8.3. The customer is responsible for using the Products in a safe manner.
8.4. The customer is responsible for familiarizing himself with the terms of agreement that apply between the customer and Yabie’s partner or other supplier of third-party services or products.
Customer Support
9.1. Yabie offers a support service to the Customer
9.2. The customer is welcome to contact the customer support regarding user support and in the Products or Hardware. Yabie cannot guarantee that all errors can be resolved through contact with the support service. If there are errors on the Hardware that the support service cannot help resolve, Yabie will contact the relevant supplier for further follow-up. More information about the conditions for repair or replacement of the Hardware can be found in point 3. Warranty above.
9.3. You can contact our support service via the contact information provided on our website https://www.yabie.com/support. The website also contains information about when the support service is available.
Payment
10.1. Compensation for the hardware is stated in the order in the web interface.
10.2. Currency for the specific price is stated in the order through the web interface. All prices are excluding VAT unless otherwise stated.
10.3. The hardware the customer has ordered is paid for when ordering. Yabie has the right to issue an invoice electronically or in another way that Yabie decides.
10.4. Invoices from Yabie must be paid by the Customer within 30 days from the invoice date.
10.5. In the event of delayed payment by the Customer, Yabie is entitled to charge a fee for a payment reminder and any costs for collection claims. In addition, Yabie is entitled to default interest in accordance with the Interest Act, from the due date of the unpaid amount. In the event of non-payment, Yabie can invoice the remaining contract period.
10.6. If the Customer does not pay the invoice on time, Yabie has the right to take back the Hardware until full payment has been received, as well as charge a fee for re-opening. If the payment is delayed more than 30 days after the payment reminder, Yabie has the right to terminate the cooperation with the Customer with immediate effect and apply other consequences.
Limitation of liability
11.1. Yabie’s total liability for damage or other loss (regardless of how the damage or loss occurred, including damage or loss caused by negligence) arising under or in connection with this Agreement, shall be limited to an amount corresponding to the compensation the Customer has paid Yabie in the last six 6 months before the time of damage, a maximum of one basic amount per year.
11.2. Yabie shall not be liable under any circumstances for any indirect damage or loss arising under or in connection with this Agreement, including, but not limited to, loss of profits, loss of reputation or goodwill, loss of production, loss of business or business opportunity, loss of revenue or anticipated savings, or loss of and/or damaged data or information. This applies regardless of how the damage or loss occurred, and whether or not the damage was foreseeable at the time of entering into the Agreement (even if Yabie was informed of the risk of such damage or loss).
Force Majeure
If a party’s fulfillment of its obligations under the Agreement is significantly made difficult or prevented due to circumstances beyond the party’s control and which the party could not reasonably be expected to have taken into account when entering into the Agreement, and if the consequences could not reasonably have been avoided or overcome by the party, this shall constitute a reason for exemption which entails exemption from compensation and other sanctions.
Transfer of rights
Neither party may fully or partially transfer its rights or obligations under this agreement without the other party’s written consent. Yabie can, however, transfer the agreement in whole or in part to another company within Yabie’s group.
Complete Regulation
The agreement constitutes the parties’ complete regulation of all issues that the agreement affects. All written or oral commitments and promises regarding matters which the agreement affects, and which have occurred before the agreement, are replaced by the content of the agreement.
Change of the terms
Yabie has the right to decide on changes to these General Terms and Conditions at any time. However, such a change shall enter into force no earlier than 30 days after the changed terms are published via Yabie’s user interface. If the Customer reasonably considers that the change entails a significant disadvantage for the Customer, the Customer has the right to terminate the agreement in writing with ten days’ notice. However, such termination must take place no later than the day the change comes into effect.
Applicable law and dispute resolution
16.1. The agreement shall be governed by Swedish law (without application of its provisions on choice of law).
16.2. Disputes arising in connection with this agreement must first be resolved through discussions between the parties in good faith. If the dispute cannot be resolved between the parties, it shall be resolved as set forth below.
16.3. Disputes arising from this agreement shall be settled by a general court with Stockholms tingsrätt as the first instance.
